Terms of Service

1. Acceptance of Terms

Welcome to Grovin! These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Chonghui Chen ("Grovin," "we," "us," or "our") governing your access to and use of the Grovin mobile application, website, and related services (collectively, the "Service").

By creating an account, downloading the app, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of a minor, you represent that you are the minor's parent or legal guardian and that you accept these Terms on the minor's behalf. You are responsible for monitoring and supervising the minor's use of the Service.

2. Description of Service

Grovin is an AI-powered language learning application currently offering Japanese language instruction, with additional languages in development. The Service provides:

The Service is designed as a supplementary language learning tool. It is not a substitute for formal language education, professional instruction, or certified translation services.

3. Account Registration & Security

3.1 Account Creation

To use the Service, you must create an account using a valid email address or through a supported third-party sign-in provider (currently Google and Apple). You must:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to keep your login credentials secure, not share them with others, and notify us immediately at get.grovin.app@gmail.com if you suspect unauthorized access. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Subscription & Payment Terms

4.1 Free Tier

Grovin offers a free tier of the Service with daily usage limits on lessons, drills, and AI chat interactions. The specific limits of the free tier may change at our discretion.

4.2 Grovin Pro Subscription

Grovin Pro is a premium subscription that unlocks expanded access to the Service, including higher or unlimited daily usage, additional features, and priority access to new content. Grovin Pro is available as a monthly or annual subscription.

4.3 In-App Purchases

All subscriptions and message pack add-ons are purchased through in-app purchase via Apple's App Store or Google Play (each, a "Platform"). Payment is processed by the applicable Platform, not directly by Grovin.

4.4 Auto-Renewal

Your Grovin Pro subscription will automatically renew at the end of each billing period (monthly or annual) unless you cancel at least 24 hours before the end of the current period.

Your Platform account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your current subscription plan.

4.5 Cancellation

You may cancel your subscription at any time through your account settings in the applicable Platform (Apple App Store or Google Play). Cancellation takes effect at the end of the current billing period — you will retain access to Grovin Pro features until that date. To avoid being charged for the next billing period, you must cancel at least 24 hours before the renewal date.

Canceling your subscription does not delete your account or your learning progress. You will revert to the free tier after the current billing period ends.

4.6 Free Trials

We may offer free trial periods for Grovin Pro at our discretion. If a free trial converts to a paid subscription, you will be charged the applicable subscription fee unless you cancel at least 24 hours before the trial period ends. Free trial eligibility is limited to one trial per user.

4.7 Message Packs

In addition to subscriptions, we may offer message pack add-ons — one-time purchases that provide a set number of additional AI chat interactions. Message packs do not expire but are non-transferable and non-refundable.

4.8 Refunds

All purchases are final and non-refundable, except as required by applicable law or the refund policies of the applicable Platform. To request a refund, contact Apple or Google directly through their respective support channels.

4.9 Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect at the start of the next billing period following notice of the change.

5. AI-Generated Content

This section is important. Please read it carefully.

5.1 Nature of AI Content

The core of the Grovin experience — including lesson content, chat responses, drill questions, roleplay dialogues, scene narratives, and text-to-speech audio — is generated in whole or in part by artificial intelligence systems, specifically large language models (LLMs) and AI voice synthesis technology. This content is produced dynamically and is not pre-written or reviewed by human language instructors before delivery.

5.2 AI Characters Are Fictional

The sensei characters in Grovin (such as Ren, Himari, and others) are entirely fictional personas. They are not real people, certified language teachers, or licensed educators. Their personalities, teaching styles, and backstories are creative works designed to make learning engaging. While their instruction is informed by real language learning methodologies and authentic Japanese language data, their responses are generated by AI and should be understood as such.

5.3 Content Accuracy and Errors

AI-generated content may contain errors, inaccuracies, or inconsistencies. Specifically:

We work continuously to improve content quality through curriculum design, prompt engineering, and monitoring, but we cannot guarantee that all AI-generated content is accurate, complete, or error-free.

5.4 No Guarantee of Learning Outcomes

Grovin is a supplementary learning tool. We do not guarantee any specific learning outcomes, proficiency levels, test scores, or fluency milestones. Progress depends on many factors including individual effort, prior knowledge, learning style, and consistency of practice. The Service is not designed to prepare users for specific language proficiency examinations (such as the JLPT) unless explicitly stated.

5.5 Not a Substitute for Professional Instruction

The Service is not a replacement for:

5.6 Content Moderation

We implement content moderation measures to ensure that AI-generated content is appropriate, educational, and free from harmful material. These measures include system-level instructions to the AI, output filtering, and ongoing monitoring. However:

5.7 AI Variability

AI responses are non-deterministic by nature. You may receive different responses to the same input across different sessions. The difficulty, style, or depth of explanations may vary. Roleplay scenes and character dialogue are generated fresh each time and will differ between sessions. This variability is a feature of AI-based learning but means that users should not rely on exact reproducibility of any specific AI response.

5.8 Third-Party AI Services

The Service uses third-party AI providers to power its features, including large language model APIs for text generation and AI voice synthesis for audio. These services process user inputs to generate responses. Our use of these services is governed by our Privacy Policy. We select and monitor our AI providers but do not control their underlying models and cannot guarantee their behavior in all cases.

6. User Content & License

6.1 Your Content

"User Content" refers to any text, messages, or other material you submit through the Service, including chat messages to AI senseis, responses in drills, and any feedback you provide.

6.2 Ownership

You retain ownership of your User Content. However, by submitting User Content through the Service, you grant Grovin a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, and display your User Content solely for the purposes of operating and improving the Service, generating AI responses to your inputs, analyzing usage patterns to improve our curriculum and AI systems, and developing and improving our content moderation systems.

This license continues even after you stop using the Service, but only for User Content that has been anonymized or aggregated such that it cannot reasonably be linked back to you. Upon account deletion, we will handle your User Content as described in our Privacy Policy.

6.3 Responsibility for User Content

You are solely responsible for your User Content. You represent that your User Content does not violate any applicable law, these Terms, or any third party's rights.

8. Intellectual Property

8.1 Grovin's Intellectual Property

The Service, including but not limited to its software, curriculum design, lesson structures, sensei character designs and personalities, visual assets, audio, user interface, and branding, is owned by Chonghui Chen or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial language learning purposes, subject to these Terms. This license does not include the right to copy, modify, distribute, or create derivative works based on the Service, use the Service's content for commercial purposes, or remove or alter any proprietary notices.

8.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us the right to use that Feedback without restriction or compensation to you.

9. Privacy

Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers & Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that AI-generated content will be accurate, complete, reliable, or current; that the Service will meet your specific learning objectives or expectations; or that any errors in the Service will be corrected.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHONGHUI CHEN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

10.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chonghui Chen, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your User Content, your violation of these Terms, or your violation of any applicable law or third party's rights.

12. Account Termination & Deletion

12.1 Termination by You

You may stop using the Service at any time. To cancel a subscription, follow the steps in Section 4.5.

12.2 Account Deletion

You have the right to delete your account at any time. You can initiate account deletion through the in-app account settings. Upon deletion:

We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that violates these Terms or our Acceptable Use Policy, is harmful to other users or third parties, or constitutes abuse of the AI systems or the Service. In the event of termination for cause, you will not be entitled to any refund of prepaid subscription fees.

12.4 Effect of Termination

Upon termination or deletion, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 8, 10, 11, and 14.

13. Modifications to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this document, provide notice through the Service at least 30 days before the changes take effect, and for changes that materially affect your rights, request your affirmative acknowledgment.

If you do not agree to the revised Terms, you must stop using the Service before they take effect.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If informal resolution is not successful within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of JAMS, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

14.3 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not in a class, consolidated, or representative action.

15. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grovin regarding your use of the Service. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, with the remaining provisions continuing in full force. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our consent. We may assign them without restriction.
